Farmers (Co-Owners): ✅ Landify Entry Fee – A one-off fee of NZD $5,000 to make their listing

Investors Pay:

✅ Landify Investor Membership Fee - An annual subscription of NZD $1,000 to access our current listings

✅ Arrangement Fee – a one-time fee of 1.5% of the investment value in return for the connection with suitable farmers and the commercial template that forms the basis of the co-ownership structure. ✅ Annual Platform Fee – 0.5% per year of your investment value, covering essentially reporting services.

Both Parties: Due Diligence Responsibility and Agreement Negotiation While Landify presents screened Investment Memorandums to prospective investors, both farmers and investors are responsible for conducting their own independent due diligence before proceeding with an investment arrangement, and funding the advisory services required for the agreement negotiation. ​

At the start of your investment, you can choose between:

✅ Long-Term Co-Ownership – Hold your stake indefinitely alongside your co-owner farmer, benefiting from ongoing lease income and land appreciation.

✅ Structured 10-Year Buyback Option – A pre-agreed exit pathway, where the co-owner farmer has the right to buy back your stake over time or at the end of the 10-year term, ensuring a structured succession plan.

Early Exit Option

If you need to exit before your selected term, you can:

1️⃣ Sell Your Stake to Another Wholesale Investor – You may transfer your ownership to a qualifying investor, subject to Landify’s approval.

2️⃣ Trigger an Early Buyback by the Farmer – If your co-owner farmer agrees to buy your stake earlier than planned, they can do so under mutually agreed terms.

3️⃣ Exit with an Early Withdrawal Penalty – If neither of the above options is possible, you can trigger a full exit, but a 5% early exit fee applies if exiting within the first five years. This fee aligns with industry standards and accounts for liquidity management and market stability. After the first five years, this penalty reduces to 2%.

As an investor, your tax obligations will depend on your residency, investment structure, and individual circumstances. However, here are some key considerations:

✅ Lease Income Taxation – The annual lease income you receive is taxable in New Zealand. If you are a non-resident investor, tax may be withheld at the applicable non-resident withholding tax (NRWT) rate or under double taxation agreements (DTAs) with your country of residence.

✅ Capital Gains Tax (CGT) – New Zealand does not have a general capital gains tax, so gains from farmland appreciation are not typically taxed upon exit. However, tax treatment may vary based on investment intent and holding structure—we recommend seeking independent tax advice.
