LANDIFY LIMITED TERMS OF USE
Effective date: 25 August 2026
These Terms of Use (Terms) apply to your use of Landify’s website, Members Area, email updates, listings, enquiry and introduction services, and related services.
By accessing or using the Website, signing up as a Member, submitting an enquiry, purchasing a Paid Membership or submitting a Listing, you confirm that you have read, understood and agreed to these Terms.
If you access or use Landify on behalf of a company, trust, partnership or other organisation, you confirm that you are authorised to agree to these Terms on its behalf. In that case, both you and that organisation are bound by these Terms.
If you do not agree to these Terms, you must not access or use the Website or Landify’s services.
1. DEFINITIONS
In these Terms:
Ecosystem Partner means a company or organisation participating in Landify’s Ecosystem Partner programme.
Facilitator means the independent facilitator or adviser nominated by a Listing Member to help manage enquiries and introductions arising from a Listing. A Facilitator may be selected from Landify’s Facilitators List or may be the Listing Member’s own independent facilitator or adviser.
Facilitators List means Landify’s list of participating Ecosystem Partners approved for inclusion as possible Facilitators.
Free Member means a person who has signed up to receive Landify’s email updates at no charge and can access the Members Area to browse and enquire about Listings.
Introduction means an introduction arranged by Landify between Members after the relevant Members have each expressly agreed to it. An enquiry does not itself constitute an Introduction.
Listing means a farming partnership, lease, ownership, investment, employment with an ownership pathway, or other related opportunity published through Landify.
Listing Member means a Paid Member who submits or maintains a Listing.
Loss includes loss of profit, savings, revenue, opportunity, goodwill or data, and any claim, damage, liability, cost or expense, including legal costs on a solicitor and own-client basis.
Member means a Free Member or Paid Member, as the context requires.
Members Area means the member-only section of the Website.
Paid Member means a Member who has paid the Paid Membership Fee and whose Paid Membership is current.
Paid Membership means Landify’s 12-month paid membership, which provides access to the paid services described in clause 2.
Paid Membership Fee means NZ$499 including GST for a 12-month Paid Membership.
Personal Information has the meaning given to it in the Privacy Act 2020.
Terms means these Landify Limited Terms of Use.
Underlying System means any network, system, software, data or material that underlies or is connected to the Website.
User ID means a unique username, email address, password or other credential used to access the Members Area or another restricted part of the Website.
Website means www.landify.co.nz, including the Members Area.
Landify, we, us and our mean Landify Limited.
You and your mean the person or organisation accessing or using the Website or Landify’s services.
2. MEMBERSHIP TYPES
2.1 Free Membership
A Free Member may:
* receive Landify’s email updates;
* access the Members Area;
* browse Listings; and
* submit enquiries about Listings.
Submitting an enquiry does not guarantee that an Introduction will occur. A Free Member must become a Paid Member before Landify will provide an Introduction service.
2.2 Paid Membership
A Paid Member receives the Free Membership services and, during the 12-month Paid Membership term, may:
* submit a Listing for publication on Landify for up to 12 months, subject to clause 5 and Landify’s approval; and
* request unlimited Introductions with other Members, where the relevant Members mutually agree to the Introduction.
“Unlimited Introductions” means that Landify does not impose a numerical limit on Introduction requests made during an active Paid Membership. It does not guarantee that another Member will agree to an Introduction, that a particular Member will respond, or that any Introduction will result in a meeting, negotiation, agreement or transaction.
2.3 Payment before paid services
The Paid Membership Fee must be paid in full before Landify will publish a Listing or provide any Introduction service. A Free Member may submit an enquiry, but Landify will not arrange an Introduction arising from that enquiry until the enquiring Member has become a Paid Member.
2.4 Membership term
A Paid Membership runs for 12 months from the date Landify confirms that the Paid Membership Fee has been received, or from another start date confirmed by Landify in writing.
A Paid Membership does not renew automatically unless Landify and the Member expressly agree otherwise. Landify may invite a Member to renew at the price and on the terms applying at that time.
2.5 Fees and refunds
Except where these Terms state otherwise or where required by law, the Paid Membership Fee is non-refundable once paid. This includes where a Member changes their mind, asks for a Listing to be withdrawn, does not use all available services, or does not secure an Introduction or outcome.
If Landify ends a Paid Membership without fault on the Member’s part, Landify will refund the unused portion of the Paid Membership Fee on a pro-rata basis. No refund is payable where Landify suspends or ends a membership because of the Member’s breach, non-payment, unlawful or misleading conduct, or conduct that creates a material legal, safety, security or reputational risk.
3. ENQUIRIES AND INTRODUCTIONS
3.1 Enquiries
Members may submit an enquiry through the relevant form on the Website. An enquiry is an expression of interest only. It does not oblige the Listing Member, the enquiring Member, Landify or any Facilitator to proceed with an Introduction or further discussion.
3.2 Mutual agreement
Landify will arrange an Introduction only where:
* the Member requesting the Introduction has a current Paid Membership;
* the relevant Listing Member or other Member has also agreed to the Introduction; and
* Landify has received each relevant Member’s express permission, through the applicable form on the Website, to share the Personal Information and contact information needed for that Introduction.
Either Member may decline an Introduction without giving a reason.
3.3 Landify’s role
Landify acts as an introductory platform. We may receive enquiries, seek each Member’s permission, pass agreed information to the relevant parties and their nominated Facilitators, and help coordinate an initial Introduction.
Landify does not act as an agent, broker, investment adviser, financial adviser, legal adviser, accountant, employment adviser or representative of any Member. We do not negotiate or enter into any agreement on a Member’s behalf.
3.4 No guarantee
Landify does not guarantee the availability, accuracy, suitability, financial position, capability, character or intentions of any Member, Listing, Facilitator or opportunity. Each Member is responsible for undertaking their own enquiries, professional advice and due diligence before relying on information, progressing discussions or entering into any agreement.
4. EXPRESS PERMISSION AND PERSONAL INFORMATION
4.1 No sharing without express permission
Landify will not share a Member’s Personal Information or contact information with another Member or a Facilitator unless Landify has first received that Member’s express permission through the relevant form on the Website.
This applies to information shared in connection with Listings, enquiries, Facilitator nominations and Introductions.
4.2 Permission relating to an enquiry or Introduction
When completing a Website form, a Member will be asked to indicate whether Landify may share specified information with the relevant Member and, where applicable, the nominated Facilitator. Landify will share only the information covered by that permission and only for the purpose explained in the form.
Submitting an enquiry does not, by itself, authorise Landify to disclose the enquiring Member’s Personal Information or contact information. The Member’s express permission must be recorded in the relevant form before disclosure occurs.
4.3 Permission relating to a Facilitator
When a Listing Member nominates a Facilitator through the relevant Website form, the Listing Member expressly authorises Landify to share with that Facilitator the Listing Member’s name, contact information and relevant Listing information, and to include the Facilitator in relevant communications about enquiries and Introductions arising from the Listing.
Where information about another Member is to be shared with that Facilitator, Landify will first obtain that other Member’s express permission through the relevant Website form.
4.4 Confidentiality and permitted use
Personal, Listing and enquiry information received through Landify must be kept confidential and secure. A Member or Facilitator may use that information only to consider, establish or progress the particular Listing, enquiry, Introduction or engagement for which it was provided. It must not be disclosed to anyone else unless the person concerned has authorised the disclosure or disclosure is required by law.
4.5 Privacy law and policy
Landify will comply with the Privacy Act 2020 and its Privacy Policy when collecting, storing, using and disclosing Personal Information. Please refer to Landify’s Privacy Policy for further information.
You are not required to provide Personal Information beyond the information necessary for the service you choose to use. However, if you do not provide required information or permission, Landify may be unable to create your account, publish your Listing, process your enquiry, involve your nominated Facilitator or arrange an Introduction.
5. MAKING A LISTING
5.1 Eligibility and approval
Only a Paid Member may submit a Listing. The Paid Membership Fee must have been paid in full before the Listing is published.
All Listings are subject to Landify’s approval. Landify may request changes, decline a Listing, delay publication or remove a Listing where Landify reasonably considers this necessary to protect Members, the Website, Landify’s reputation or mission, or to comply with the law.
5.2 Listing period
An approved Listing may remain live for up to 12 months from its publication date. A Listing Member may ask Landify to remove the Listing earlier, but no refund is payable merely because the Listing is withdrawn or no longer required.
5.3 Listing content
The Listing Member must ensure that all information supplied for a Listing is true, accurate, current, complete, able to be substantiated and not misleading. The Listing Member must promptly notify Landify if any information becomes inaccurate or out of date.
The Listing Member is responsible for errors or omissions in the Listing and warrants that all supplied content is appropriately licensed, does not infringe any third party’s rights and complies with applicable New Zealand law, including the Fair Trading Act 1986, Human Rights Act 1993, New Zealand Bill of Rights Act 1990, Commerce Act 1986 and Privacy Act 2020.
Landify may edit Listing content for length, clarity, formatting, consistency or legal compliance. We will not intentionally make a material change to the meaning without consulting the Listing Member.
5.4 Promotion
Landify may promote or reproduce an approved Listing through the Website, email updates, social media and the communication channels of organisations we work with. This permission relates to the approved Listing content and does not authorise Landify to publish Personal Information or contact information that the Listing Member has not expressly approved for publication.
Landify will obtain the relevant Member’s express permission before publicising the identity of the parties to a successful Introduction, appointment, partnership or transaction.
5.5 Facilitator nomination required
When submitting a Listing, the Listing Member must nominate a third party to help manage downstream enquiries and Introductions arising from that Listing. The Listing Member may:
* select a Facilitator from Landify’s Facilitators List; or
* nominate their own independent facilitator or adviser who is not on the Facilitators List.
Landify may decline to publish or may pause a Listing until a Facilitator has been nominated and the nomination has been dealt with in accordance with this clause.
5.6 Facilitator acceptance and engagement terms
A nomination is not an instruction for the Facilitator to begin work and does not require the Facilitator to accept the engagement. The nominated Facilitator must accept the role before acting.
Before any chargeable work begins, the Listing Member and Facilitator must agree directly on the scope of services, responsibilities, fees, invoicing arrangements and any other engagement terms.
5.7 User-pays and independent service
Facilitation is provided on a user-pays basis and is not included in the Paid Membership Fee. The Facilitator contracts with and invoices the Listing Member directly.
Landify does not set, collect or guarantee payment of Facilitator fees and is not a party to the engagement between the Listing Member and Facilitator. The Facilitator is responsible for making their rates and any likely charges clear before undertaking chargeable work.
5.8 No endorsement or supervision
Inclusion on the Facilitators List does not constitute Landify’s endorsement, certification or guarantee of a Facilitator or their services. A Listing Member is responsible for deciding whether a Facilitator is suitable and for carrying out any appropriate due diligence.
Facilitators act as independent service providers. Landify does not employ, supervise or control them and is not responsible for their advice, services, fees, acts or omissions.
Facilitators who participate through the Ecosystem Partner programme are also subject to the applicable Ecosystem Partner Terms and Conditions. A Listing Member’s own independent facilitator or adviser is not an Ecosystem Partner merely because they have been nominated.
5.9 Facilitator standards
A Facilitator who accepts an engagement is expected to:
* act professionally, competently, independently and in good faith;
* comply with all applicable laws, professional duties, codes, licences and registration requirements;
* identify and appropriately manage or disclose actual or potential conflicts of interest;
* keep Member and Listing information confidential and secure;
* use Personal Information and confidential information only for the purpose for which it was provided;
* not disclose that information unless authorised or legally required;
* maintain any insurance reasonably appropriate to the services provided; and
* deal directly with the Listing Member regarding any complaint or dispute concerning the Facilitator’s services or fees.
6. YOUR OBLIGATIONS
When using the Website or Landify’s services, you must:
* provide true, accurate, current and complete information and promptly update it when required;
* not provide information, or do or omit anything, that is likely to mislead or deceive Landify, a Member, a Facilitator or any other person;
* keep your User ID secure, not allow another person to use it, and promptly notify Landify at sarah@landify.co.nz if you become aware of unauthorised access or disclosure;
* ensure that content you provide does not infringe intellectual property rights, breach privacy or confidentiality obligations, unlawfully discriminate or otherwise breach New Zealand law;
* ensure that files supplied to Landify or uploaded to the Website are free from viruses or other harmful code;
* not use the Website, Member information, Listing information or information received through an enquiry or Introduction for unsolicited bulk marketing;
* not scrape, harvest, data-mine, deep-link to restricted content, use a robot or spider, or use any similar automated extraction or monitoring method without Landify’s prior written agreement;
* not introduce any virus, worm, Trojan horse, time bomb, keystroke logger, spyware or similar harmful feature, or otherwise damage, disrupt or interfere with the Website or any Underlying System;
* access the Website only through standard web browsers or another method approved by Landify; and
* not use the Website or Landify’s services for any illegal, fraudulent, abusive or harmful purpose.
7. LANDIFY’S ROLE AND YOUR DECISIONS
Landify provides a platform through which Members may learn about and explore farming partnership, lease, ownership, investment, employment with an ownership pathway, and related opportunities. Landify may also provide general educational information and access to independent Ecosystem Partners and Facilitators.
Landify does not recommend or endorse a particular Member, Listing, Facilitator, opportunity, structure, applicant or proposed transaction. Any general information provided by Landify is not legal, financial, accounting, investment, tax or other professional advice.
You are solely responsible for evaluating other Members, Listings, Facilitators, opportunities and information, obtaining appropriate professional advice and deciding whether and how to proceed. Landify is not responsible for a decision or action taken in reliance on information provided through the Website, a Listing, an enquiry, an Introduction, a Member, an Ecosystem Partner or a Facilitator.
8. THIRD PARTIES
Members, Ecosystem Partners, Facilitators and other third parties are independent from Landify and are not under Landify’s control. Landify is not responsible for their conduct, services, advice, products, fees, representations, availability or suitability, or for any interaction, negotiation, agreement or dispute involving them.
The Website may contain links to third-party websites. These links are provided for convenience only. Landify does not control, endorse or accept responsibility for those websites or their content, operations, products or operators.
9. WEBSITE AVAILABILITY AND SECURITY
Landify will take reasonable care to maintain the Website and protect the information provided to us. However, internet use carries inherent security risks and Landify cannot guarantee that:
* the Website will always be available, uninterrupted, secure or error-free;
* information made available through the Website will be complete or free from error or omission; or
* files or emails available through or sent in connection with the Website will be free from viruses, worms, Trojan horses or other harmful code.
You are responsible for maintaining appropriate security, backups and protective software when accessing or using the Website.
Landify makes no representation that the Website is appropriate or available in every country. You are responsible for ensuring that your access and use are lawful in your location.
10. INTELLECTUAL PROPERTY
Landify and its licensors own all copyright, trade marks and other intellectual property rights in the Website and Underlying Systems, including the Website’s design, information, data, text, graphics, artwork, photographs, logos, icons, sound recordings, videos, code and software, except for content clearly identified as belonging to a Member or third party.
You may use the Website only for its intended purpose and in accordance with these Terms. You must not modify, copy, reproduce, republish, upload, post, transmit or distribute Website material without Landify’s prior written permission, except where permitted by law.
You must obtain Landify’s written permission before establishing a link to a restricted part of the Website. Requests may be sent to sarah@landify.co.nz.
11. PROMOTIONAL EMAILS
Landify may include information in its email updates about Landify’s services or the services of Ecosystem Partners or other organisations where Landify reasonably believes the information may interest Members and is consistent with Landify’s mission.
Members may unsubscribe from promotional email updates using the unsubscribe facility provided. Unsubscribing from email updates may affect a Free Member’s ability to receive information about new Listings but does not, by itself, cancel a current Paid Membership.
12. LIABILITY
To the maximum extent permitted by law:
* you access and use the Website and Landify’s services at your own risk; and
* Landify is not liable to you or any other person for any indirect or consequential Loss, loss of profit, loss of opportunity, loss of data or reputational harm arising under or in connection with these Terms, the Website, a Listing, an enquiry, an Introduction, a Facilitator engagement, or your access to or use of Landify’s services.
To the maximum extent permitted by law, Landify’s total liability to you arising under or in connection with these Terms, the Website or Landify’s services will not exceed the amount you paid to Landify in the 12 months before the event giving rise to the claim. If you are a Free Member and paid no amount during that period, Landify’s total liability will not exceed NZ$100.
Where you use Landify’s services in trade, you agree that the Consumer Guarantees Act 1993 does not apply and that it is fair and reasonable for you to be bound by this provision.
Nothing in these Terms excludes or limits any right, remedy or liability that cannot lawfully be excluded or limited. To the extent that Landify’s liability cannot be excluded but can lawfully be limited, it is limited as stated above.
13. INDEMNITY
You indemnify Landify against any third-party claim, Loss, damage, liability and reasonable cost to the extent arising from:
* content or information you supply;
* your breach of these Terms, applicable law, privacy or confidentiality obligations, or a third party’s rights;
* your acts or omissions in connection with a Listing, enquiry, Introduction, negotiation, transaction or Facilitator engagement; or
* another person’s access to or use of the Website through your User ID.
14. SUSPENSION AND TERMINATION
14.1 By you
You may stop using the Website or ask Landify to close your account at any time. A Paid Member may end their Paid Membership by giving Landify written notice, but clause 2.5 applies to refunds.
14.2 By Landify
Landify may restrict, suspend or terminate a membership, remove content, pause or remove a Listing, or withhold a service if:
* you materially breach these Terms and, where the breach can be remedied, do not remedy it within a reasonable period after notice;
* an amount due remains unpaid;
* your content or conduct is unlawful, misleading, unsafe, abusive or materially inconsistent with Landify’s mission or the reasonable expectations of Members;
* continued access creates a material legal, regulatory, privacy, security, safety or reputational risk; or
* Landify discontinues the Website or relevant service.
Where urgent action is reasonably required to protect a person, information, the Website or Landify, suspension or termination may occur without prior notice.
14.3 Effect
On suspension or termination, you must immediately stop the affected use and must not attempt to regain access without Landify’s permission. Provisions relating to payment, confidentiality, privacy, intellectual property, liability, indemnity, disputes and any other provisions intended to continue will survive termination.
15. CHANGES TO THE WEBSITE, SERVICES OR TERMS
Landify may make reasonable operational changes to the Website and its services, including changes to design, format, technology and publication schedules.
Landify may also update these Terms to reflect changes in law, its services or its business. Updated Terms will be posted on the Website with a revised effective date. Landify will give reasonable notice of any material change affecting a current Paid Membership.
A change made during a current Paid Membership will not materially reduce the core paid services described in clause 2.2 without the Member’s agreement, unless the change is reasonably required by law, security, safety or circumstances beyond Landify’s reasonable control. If Landify otherwise materially reduces those core services and does not offer a reasonable alternative, the Paid Member may end the membership and receive a pro-rata refund for the unused portion.
By continuing to use the Website or Landify’s services after updated Terms take effect, you agree to the updated Terms.
16. GENERAL
16.1 Communications
Landify may contact you by email, phone or direct private message through the Website. You agree that electronic communications satisfy any legal requirement for written communications, unless the law requires otherwise.
16.2 Assignment
You may not transfer your rights or obligations under these Terms without Landify’s prior written consent.
16.3 Severability
If any provision of these Terms is or becomes unenforceable, illegal or invalid, that provision will be treated as severed and the remaining provisions will continue in effect.
16.4 Waiver
A waiver of a right under these Terms must be in writing. A failure or delay in exercising a right is not a waiver of that right.
16.5 Entire agreement
These Terms and any written variation expressly agreed by Landify set out the entire agreement relating to your use of the Website and Landify’s membership, Listing, enquiry and Introduction services. They supersede prior discussions or agreements about those matters.
16.6 Governing law
These Terms are governed by New Zealand law. You and Landify submit to the non-exclusive jurisdiction of the New Zealand courts in relation to any dispute connected with these Terms, the Website or Landify’s services.
