Ecosystem Partner Terms and Conditions

Effective date: 1st August 2026

 

These Ecosystem Partner Terms and Conditions (the Terms) set out the agreement between Landify Limited (Landify, we, our or us) and the company or organisation applying to participate in Landify’s Ecosystem Partner programme (the Ecosystem Partner, you or your).

 

By applying to become an Ecosystem Partner, accepting an invoice, paying the subscription fee or participating in the programme, you confirm that you have read, understood and agreed to these Terms.

 

1. The Ecosystem Partner programme

 

1.1 Purpose

Landify’s mission is to make farming partnerships and ownership opportunities more accessible. The Ecosystem Partner programme brings together firms that provide relevant products or services—including software, training, finance, advisory, facilitation, coaching and accountancy—and wish to help enable that mission.

 

1.2 Eligibility and approval

Participation is subject to Landify’s approval. We may accept or decline an application where we reasonably consider this necessary to protect Landify’s members, reputation, platform or mission. If we decline an application after payment has been made, we will refund the subscription fee in full.

 

1.3 Subscription term

Your subscription runs for 12 months from the subscription start date shown on your invoice, unless ended earlier under these Terms. A subscription does not renew automatically unless Landify and the Ecosystem Partner expressly agree otherwise. Before the end of the term, Landify may invite you to renew at the price and on the terms applying at that time.

 

2. Subscription benefits

During an active subscription, and subject to these Terms, an Ecosystem Partner receives:

  • a company profile on the Ecosystem Partners page, including the information described in clause 3;

  • display of its logo on Landify’s landing page;

  • display of its logo in each standard Landify Monthly Update issued during the subscription term;

  • the option to request one social media feature about its business during the subscription term, subject to clause 4;

  • the option to join Landify’s Facilitators List, subject to clause 5; and

  • the option to purchase a product or company Spotlight in a Landify Monthly Update, subject to clause 6 and availability.

 

Landify does not guarantee any particular level of profile views, enquiries, referrals, engagements, revenue or other result from participation in the programme.

 

3. Ecosystem Partner profile

 

3.1 Profile content

Your profile may include your company name, logo, business description, products or services offered, areas of expertise, regions served and contact details, together with any other information Landify agrees to display.

 

3.2 Your responsibility for content

You must provide accurate, current, complete and appropriately licensed content. You must promptly tell Landify if any published information becomes inaccurate or out of date. You warrant that Landify’s use of the material you supply will not infringe any third party’s rights or breach any law.

 

3.3 Approval, editing and placement

Landify may edit content for length, clarity, formatting, consistency or legal compliance. We will not materially change the meaning of your content without consulting you. Landify determines the design, placement, ordering and filtering of Ecosystem Partner profiles and logos. No particular position or prominence is guaranteed.

 

4. Social media feature

You may request one Landify social media feature during each subscription term. The topic, content, format, timing and platform are subject to Landify’s approval and publishing schedule. Any feature must be relevant to Landify’s audience and consistent with our mission and values. We may request changes or decline material that is inaccurate, misleading, overly promotional or otherwise unsuitable. A social media feature has no separate cash value and cannot be exchanged for a refund or credit.

 

5. Facilitators List

 

5.1 Eligibility

Only current, paid Ecosystem Partners may appear on Landify’s Facilitators List. Participation is optional and subject to Landify’s approval. Landify may ask for information about the proposed facilitators’ experience, qualifications, professional memberships, licences, insurance or approach before approving them for inclusion.

 

5.2 How nominations work

Landify members creating a listing are required to nominate a third party to help manage enquiries and introductions arising from that listing. A member may choose a facilitator from Landify’s Facilitators List or use their own independent facilitator or adviser who is not on the list.

 

If a member nominates you, Landify may:

  • copy you into the listing confirmation email;

  • provide you with the listing party’s name, contact details and relevant listing information; and

  • copy you into relevant enquiry and introduction emails arising from that listing.

 

Landify will disclose this information only for the purpose of considering or carrying out the nominated facilitator role and in accordance with Landify’s privacy obligations.

 

5.3 Accepting or declining an engagement

A nomination is not an instruction to begin work and does not require you to accept the engagement. You must promptly contact Landify and the member to accept or decline the role. Before starting chargeable work, you and the member must agree directly on the scope of services, responsibilities, fees, invoicing arrangements and any other engagement terms.

 

5.4 User-pays model

Facilitation is provided on a user-pays basis. You contract with and invoice the member directly for your services. Landify does not set, collect or guarantee payment of facilitator fees and is not a party to the engagement between you and the member. You must make your rates and any likely charges clear to the member before undertaking chargeable work.

 

5.5 Facilitator responsibilities

If you accept a facilitator engagement, you must:

  • act professionally, competently, independently and in good faith;

  • comply with all applicable laws, professional duties, codes, licences and registration requirements;

  • identify and appropriately manage or disclose actual or potential conflicts of interest;

  • keep member and listing information confidential and secure;

  • use personal and confidential information only for the purpose for which it was provided;

  • not disclose that information to another person unless authorised or legally required;

  • maintain any insurance reasonably appropriate to the services you provide; and

  • deal directly with the member regarding any complaint or dispute concerning your services or fees.

 

5.6 Opting out

You may ask to be removed from the Facilitators List at any time by contacting Landify. Removal from the list does not end any facilitator engagement you have already accepted, which remains governed by the terms agreed between you and the relevant member.

 

6. Monthly Update Spotlights

 

6.1 Availability and price

An Ecosystem Partner may purchase a product or company Spotlight in a Landify Monthly Update for NZ$250 plus GST. A maximum of 12 Spotlights are available across the programme in each calendar year, so placement is subject to availability and confirmation by Landify.

 

6.2 Content and scheduling

The topic, wording, images, links, format and publication date must be agreed with Landify. Spotlight content must be accurate, able to be substantiated, relevant to Landify’s audience and consistent with our mission and values. Landify may edit the content in consultation with you or decline content that does not meet these requirements.

Spotlight fees are payable before publication. If Landify cannot publish an agreed Spotlight, we will offer an alternative publication date or refund the Spotlight fee. If you cancel after content production has begun or fail to provide approved material by the agreed deadline, the fee is non-refundable.

 

7. Fees and payment

 

7.1 Annual subscription fee

The Ecosystem Partner subscription fee is NZ$750 plus GST for each 12-month term. Landify will issue an invoice, which must be paid by the due date shown on the invoice and before programme benefits are activated, unless we agree otherwise in writing.

 

7.2 Refunds

Except where these Terms expressly provide otherwise or where required by law, subscription fees are non-refundable. If you choose to leave the programme during a subscription term, no pro-rata refund will be payable. If Landify ends your subscription without fault on your part, we will refund the unused portion of the annual subscription fee on a pro-rata basis.

 

7.3 Overdue amounts

If an invoice remains overdue, Landify may suspend or withhold programme benefits until payment is received.

 

8. Independence, no endorsement and no agency

Inclusion as an Ecosystem Partner or on the Facilitators List does not constitute Landify’s endorsement, certification or guarantee of you, your people, products or services. Landify members remain responsible for carrying out their own due diligence before engaging any Ecosystem Partner or facilitator.

 

You act as an independent business. Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary or representative relationship between you and Landify. You must not make commitments on Landify’s behalf or represent that you are authorised to do so.

 

Landify does not provide legal, financial, accounting, investment or other professional advice and does not supervise or control services supplied by Ecosystem Partners or facilitators.

 

9. Brand and intellectual property

You retain ownership of your name, logo and other material you provide. You grant Landify a non-exclusive, royalty-free licence during the subscription term to reproduce, edit for format and display that material for the purpose of operating and promoting the Ecosystem Partner programme, your profile and any agreed feature or Spotlight.

 

While your subscription is current, you may accurately describe your business as a “Landify Ecosystem Partner”. You may not use Landify’s logo or other brand assets without our prior written approval, or imply that Landify endorses or guarantees your products or services. When your subscription ends, you must stop describing yourself as a current Landify Ecosystem Partner.

 

10. Privacy and confidentiality

Each party must comply with the Privacy Act 2020 and any other applicable privacy law when collecting, storing, using or disclosing personal information under the programme.

 

Any member, listing or enquiry information you receive through Landify must be treated as confidential and protected using reasonable security safeguards. You may use it only to consider, establish or perform the relevant engagement. You must promptly notify Landify and any affected member if you become aware of unauthorised access, loss or disclosure involving information received through Landify.

 

Landify’s collection and use of your information is also governed by its Privacy Policy.

 

11. Compliance and conduct

You must ensure that all claims, descriptions, prices and promotional material supplied to Landify are accurate, not misleading, capable of substantiation and compliant with applicable New Zealand law. You must not use the programme or information received through it for unsolicited bulk marketing, unlawful purposes or conduct that could reasonably harm Landify, its members or the reputation of the programme.

 

You must promptly tell Landify about any event that could materially affect your suitability as an Ecosystem Partner or facilitator, including the loss of a required licence or registration, a serious professional disciplinary matter, insolvency, or a material complaint relating to services provided through a Landify connection.

 

12. Changes to the programme or these Terms

Landify may make reasonable operational changes to the programme, including changes to design, format, placement, technology and publication schedules. We may also update these Terms to reflect changes in law, the programme or our business.

 

We will give you reasonable notice of any material change. A change made during a current paid term will not materially reduce the core benefits in clause 2 without your agreement, unless the change is reasonably required by law, security, safety or circumstances beyond Landify’s reasonable control. If Landify otherwise makes a material reduction to the core benefits and no reasonable alternative is offered, you may end the subscription and receive a pro-rata refund for the unused portion.

 

13. Suspension and termination

 

13.1 Termination by you

You may end your participation at any time by giving Landify written notice. Clause 7.2 applies to refunds.

 

13.2 Suspension or termination by Landify

Landify may suspend or end your participation, remove content or remove you from the Facilitators List if:

  • you materially breach these Terms and, where the breach can be remedied, do not remedy it within a reasonable period after notice;

  • an invoice remains unpaid after notice;

  • your content, products, services or conduct are unlawful, misleading, unsafe or materially inconsistent with Landify’s mission or the reasonable expectations of its members;

  • continuing your participation creates a material legal, regulatory, security or reputational risk; or

  • Landify discontinues the Ecosystem Partner programme.

If Landify ends your participation because of your breach, non-payment or conduct, no refund will be payable. If Landify discontinues the programme or ends your participation without fault on your part, clause 7.2 applies.

 

13.3 Effect of termination

When your participation ends, Landify may remove your profile and logo and you must stop presenting yourself as a current Ecosystem Partner. Clauses concerning payment, confidentiality, privacy, intellectual property, liability, indemnity and any other provisions intended to continue will survive termination.

 

14. Responsibility and liability

Each Ecosystem Partner is solely responsible for its own products, services, advice, acts and omissions, including those of its employees, contractors and approved facilitators. Landify is not responsible for the outcome of any introduction, negotiation, transaction or engagement between an Ecosystem Partner and a member or other third party.

 

To the maximum extent permitted by law, Landify will not be liable for indirect or consequential loss, loss of profit, loss of opportunity, loss of data or reputational harm arising from the programme. Landify’s total liability arising out of or relating to these Terms will not exceed the subscription fees paid by you to Landify in the 12 months before the event giving rise to the claim. Nothing in these Terms limits any liability that cannot lawfully be excluded or limited.

 

15. Indemnity

You indemnify Landify against third-party claims, losses, damages, liabilities and reasonable costs to the extent they arise from:

  • content or claims you supply;

  • your products, services, advice, acts or omissions;

  • your breach of these Terms, applicable law, privacy obligations or a third party’s rights; or

  • the acts or omissions of your employees, contractors or facilitators.

 

16. General

You may not transfer your rights or obligations under these Terms without Landify’s prior written consent. If any provision is held invalid or unenforceable, the remaining provisions continue in effect. A failure or delay in enforcing a right is not a waiver of that right. These Terms, together with the applicable invoice and any written variation agreed by both parties, form the entire agreement relating to the Ecosystem Partner subscription.

 

17. Governing law

These Terms are governed by the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the New Zealand courts.
